Memorandum of Understanding
Regarding Merger of American Academy of Industrial Hygiene And American Industrial Hygiene Association
1. The AIHA agrees not to increase dues because of this merger for at least 3 years. If there are reasons other than merger to raise dues, this could be done by AIHA.
2. The AAIH will have the following organizational responsibilities: the PCIH; RAC/ABET academic accreditation oversight; Smyth Award; JCHSEEP; and serving as the secretariat for the JIHEEC. These activities will be funded through the AIHA budgetary process.
3. The AIHA will provide a way to communicate in writing to Diplomate members.
4. The AIHA will assume responsibility for all administrative functions and services currently under contract with the ABIH and AIHA (refer to current contracts with both organizations), subject to legal review. This will include the PCIH and the joint AAIH/ACOEM meeting in 2000. All expenses and income for the PCIH will be part of the AIHA budget.
5. Joint Industrial Hygiene Ethics Education Committee - The AAIH will continue to serve as secretariat for the committee. Membership in this committee will be recommended to AIHA and the Academy of Industrial Hygiene by the current committee.
6. The Academy of Industrial Hygiene will develop and present to the AIHA Board of Directors for consideration the list of AIHA nominees to serve as ABIH Directors, AIHA Finance and AIHA Nominating Committees.
7. The Academy of Industrial Hygiene will establish a set of bylaws. These bylaws and subsequent changes will be effective upon approval by the AIHA Board of Directors.
8. Representatives to the Interboard Task Force will be selected by the AIHA Board.
9. The Academy of Industrial Hygiene will recommend an organizational home within AIHA for COHST's and IHIT's.
10. The Academy of Industrial Hygiene will recommend a role for itself in CIH title protection activities within one year following the completion of this merger.
11. The AIHA will provide necessary legal services to implement this merger.
12. Terms and conditions of this Memorandum of Understanding can be changed with mutual consent of both the AIHA and Academy Executive Committees.
ABIH Actions In Merger Process
1. The ABIH agrees to decrease the fee charged to diplomates by $15/year. AIHA and AAIH agree to deliver all the net liquid assets of AAIH to ABIH upon dissolution.
2. The ABIH will dissolve the AAIH by a motion of the Board after a vote favoring AIHA/AAIH merger is obtained from their respective memberships.
3. AIHA[sic] will use ABIH staff during the transition period through December 31, 1999.
4. ABIH will continue to provide a liaison to the new Academy of Industrial Hygiene Board in the current manner.
