Article I - Name
The
organization shall be known as the St. Louis Section of the
American Industrial Hygiene Association (AIHA – St. Louis)
Article II - Purpose
The
purpose of the organization shall be to promote the purpose of
the American Industrial Hygiene Association (AIHA), as set forth
in its Articles of Incorporation, within the geographic
boundaries of Eastern Missouri and Southwestern Illinois.
Article III - Membership
Section 1.
Any member of AIHA residing within the geographic boundaries of
the St. Louis Section may become a Member of the Section upon
payment and receipt of local dues. Subject to the approval of
the Local Section Executive Board, any member of AIHA living
outside the geographic boundaries of the Local Section may
become a Member of the Local Section by giving written notice to
the Local Section and the Executive Director of the AIHA. A
member of AIHA may be a member of more than one Local Section.
Section 2.
Upon payment and receipt of local dues and the approval by a
two-thirds vote of the Local Section Executive Board, any person
having a professional interest in industrial hygiene may become
an Associate Member of the Local Section, entitled to the
privileges of the Local Section Membership. Associate Members
may subscribe to the AIHA Journal at a reduced price through the
Treasurer of the Local Section for up to two years.
Section 3.
Emeritus membership of the St. Louis Section may be extended to
a member who has retired from the industrial hygiene profession,
with approval of the St. Louis Executive Board. An Emeritus
Member retains all privileges of a member of the Local Section
but will not be assessed local dues.
Section 4.
Additional classes of membership in the Local may be created
with the approval of the Board of Directors of the AIHA.
Article IV - Membership Meetings
Section 1.
Meetings of the St. Louis Section shall be held at the time and
place designated by the Executive Board.
Section 2.
The annual Business Meeting shall be held by November 30th
of each year to inform local section members of the status of
the Section.
Section 3.
Special meetings shall be called at the discretion of the
President, with the approval of the Executive Board, or in
response to the written (including e-mail) request of twenty
percent (20%) of the members of the Local Section in good
standing.
Section 4.
Notice of the time and place of any meeting shall be delivered
not less than ten (10) days before the date of the meeting.
Section 5.
The presence of ten percent (10%) of the members of the Local
Section in good standing shall be required to constitute a
quorum for any meeting.
Article V - Executive Board
Section 1.
The officers of the Local Section shall consist of the
President, President-Elect, Secretary, Secretary-Elect, and
Treasurer. Only members of the National and St. Louis Section of
the AIHA may be elected as officers. No person shall serve as
officer in more than one Local Section at the same time. An
officer need not reside or work in the geographic boundaries of
the Local Section. Officers shall be elected by the members of
the Local Section in September of each year, and the Local
Section shall give notice of the names and addresses of the
newly elected officers to the Executive Director from the
National AIHA within thirty (30) days of such election. The
normal term of office shall be one year for the President,
President-Elect, Secretary and Secretary-Elect, and two years
for the Treasurer. The President-Elect shall automatically
succeed the President in office upon the completion of the
President's term of office. The Secretary-Elect shall
automatically succeed the Secretary in office upon completion of
the Secretary's term of office.
Section 2.
A vacancy in office because of death, resignation or removal of
an officer may be filled by the Executive Board for the
remainder of the term. If the vacancy occurs in the office of
President, the President-Elect shall complete the unfinished
term. If the vacancy occurs in the office of President-Elect,
the member appointment shall not automatically succeed the
President, and the President for the following year shall be
elected during the September elections.
Section 3.
An officer may resign by oral tender of resignation at any
meeting of the Executive Board, or by giving written notice to
the Executive Board. Such resignation shall take effect at the
time specified and acceptance of such resignation shall not be
necessary to make it effective.
Section 4.
An officer may be removed, with or without cause, at a meeting
expressly called for that purpose, by a majority vote of the
Executive Board.
Section 5.
The President shall preside at all meetings of the Local Section
membership and of the Executive Board and shall perform such
other duties as may be directed by the Executive Board. The
President shall form any committees as the Executive Board may
deem necessary for the orderly function of the Local Section.
The President shall appoint the Chairman and Co-chairman of the
committees. Chairman and Co-chairman shall appoint members of
the committees. All committee appointments shall be for a
one-year term or the completion of the task and issuance of a
final report. The President shall be an ex-officio member of all
committees.
Section 6.
The President-Elect shall automatically succeed the President in
office upon completion of the President's term of office. The
President-Elect shall perform any duties delegated by the
Executive Board or assigned by the President.
Section 7.
The Treasurer shall receive, disburse and be custodian of all
funds of the Local Section. All disbursements shall be made upon
authorization of the President. The Treasurer shall prepare a
preliminary annual financial report and submit the accounts of
the Local Section for audit at the January meeting for the
Executive Board. The Treasurer shall transmit to the successor
in office all funds and property of the Local Section in June.
The final Treasurer's report will be presented at the annual
business meeting. The Treasurer shall also provide monthly
financial statements to the Executive Board for review at the
monthly Executive Board meetings.
Section 8.
The Secretary shall give notice of all meetings of the Local
Section and the Executive Board; maintain accurate lists of the
members and their membership status; keep a record of the
transaction of business that may come before such meetings; and
be custodian of the records of the Local Section.
Section 9.
The Secretary-Elect shall automatically succeed the Secretary in
office upon completion of the Secretary's term. The
Secretary-Elect shall obtain the speaker gifts, past-president
gift, etc. and help the Treasurer at the monthly meetings. In
addition, the Secretary-Elect shall take over sending out the
monthly meeting notices and maintain the membership list from
September – December of the year in order to transition into the
Secretary position.
Article VII - Board of Directors
Section 1.
The Board of Directors of the St. Louis Section shall consist of
four members. Any member of the Local Section may be elected as
a member of the board. A new Board Member is elected by the
members of the Local Section in September of each year. The
Elected Board Members shall serve a three-year term. Election of
a new Board Member will rotate for each slot so that only one
new director is elected each year to a three-year term. Three
Board Members are elected to the Board of Directors, and the
fourth member is the current Past-President of the Local
Section.
Section 2.
A vacancy in office because of the death, resignation or removal
of a Board Member may be filled by the Executive Board to fill
the remainder of the term.
Section 3.

(including e-mail) thereof to the Executive Board. Such

Section 4.

the Executive Board.
Section 5.
Board members shall serve as committee Chairs and perform all
duties as deemed necessary by the Executive Board as outlined in
the Responsibilities of the Executive Board.
Article VIII - Committees
Section 1.
The Programs Committee shall determine the program for each
year. The 3rd Year Director shall serve as its'
chairman and the 2nd Year Director shall serve as the
co-chairman. The program shall be submitted to the Executive
Board for the approval preferably by July preceding the new
meeting year. The Programs Committee will implement arrangements
for the programs and provide the Secretary with information to
be circulated to the Members of the Local Section.
Article IX - Local Sections Council Representatives
Section 1.
The President and President-Elect shall serve as representatives
of the Local Section on the Local Sections Council of AIHA
provided that neither is an officer or director of AIHA, in
which event, the Executive Board shall appoint another member of
such representative.
Section 2.
The representative of the Local Section shall report at the
Annual Meeting of the Local Sections Council on the Activities
of the Local Section and report back to the Local Section on the
actions of the Local Sections Council.
Article X - Public Statements
Section 1.
The Local Section shall not issue nor publish any public
statement that utilizes any form of the name of AIHA on a policy
or technical issue, other than issues which primarily affect the
Local Section, without prior consent of the Board of Directors
of the AIHA (national organization).
Section 2.
No public statement on any matter, which purports to represent
the opinion of the Local Section, shall be issued or published,
unless that statement has been authorized by the Executive Board
(AIHA – St. Louis) as expressing the opinion of a majority of
the members of the Local Section.
Article XI - Dues
Section 1.
Annual dues for the Local Section membership become payable
January 1 of each year. The dues per year shall be set forth by
the Executive Board. These dues may be collected with the
member’s national AIHA dues, if the member so chooses.
Section 2.
Any member whose dues are unpaid on April 1st is not
in good standing and shall have no vote or other privileges of
membership in the Local Section and shall be removed from the
mailing list. If the dues of any member are not paid within one
year of the date due, the membership of the Member in the Local
Section shall be terminated.
Article XII – Executive Board Nominations
Section 1.
Each outgoing board member has the responsibility to nominate at
least one local member for the position that they are vacating.
Section 2.
Nomination shall be requested from members in good standing for
nominations for open positions. Nominations shall be received by
August 15th to ensure that ballots are sent out to
the members by the August 20th deadline.
Article XIII – Postal and Electronic Mail Ballot
Section 1.
Officers of the Local Section shall be elected by postal or
electronic mail ballot of the voting members of the Local
Section. The ballots shall be distributed by the 20th
of August with September 15th of each year being the
deadline for return. The President shall promptly report the
results of the election to the Executive Director of the AIHA.
Section 2.
At any time, the Executive Board may conduct a postal or
electronic mail ballot, a referendum of the membership of the
Local Section in connection with any issue it may consider or
action to be taken. A plurality of the postal or electronic mail
ballots cast in an election of any officer or in a referendum on
any issue to be considered or action to be taken shall be
effective to constitute the election of a person as an officer
of the Local Section and as a decision or act of the Local
Section with respect to any issue to be considered or any action
to be taken. In the event of a tie vote in any such mail ballot,
the tie shall be resolved by vote of the Executive Board.
Article XIV – Amendments
Section 1.
These By-Laws may be amended or new By-Laws adopted by a
two-thirds vote of the members of the Local Section who respond
to a postal or electronic mail ballot conducted in accordance
with the provisions of Article XIII.
Section 2.
Such amended or new By-Laws shall become effective upon approval
by the Board of Directors of the National AIHA.
