Bylaws of the The Down East Section American Industrial Hygiene Association
Article I - Name and Territory
Section 1. The name of this organization shall be Down East Section, American Industrial Hygiene Association.
Section 2. The territory of this section shall consist of the States of Maine and New Hampshire.
Article II. - Object
Section 1. The object of the Down East Section of the American Industrial Hygiene Association shall be to increase the knowledge of industrial hygiene through interchange and dissemination of information; to promote the study and control of environmental factors affecting the health and well-being of workers and the public; to correlate such activities as are conducted by individuals and agencies throughout industrial, educational, medical and governmental groups; and to bring together persons interested in the various phases of industrial hygiene.
Article III. - Membership
Section 1. Members of the American Industrial Hygiene Association residing within the territory of the Down East Section shall become members of the Down East Section upon payment of the Local Section dues. Subject to the aproval of the Executive Committee of the Down East Section, any member of the Association outside of the above territory may enroll in this section by giving written notice to the Secretary of this Section and to the Executive Director of the American Industrial Hygiene Association.
Section 2. On payment of the required dues, and with the approval of two-thirds of the Executive Committee of the Down East Section, any person having a professional interest in industrial hygiene may become a member of the Section, entitled to all privileges of Section membership. Application for membership in the Section will be made in writing to the Seretary of this Section. Persons living outside of the above territory must also give written notice of their intent to the Executive Director of the American Industrial Hygiene Association.
Section 3. Any member of the Down East Section in good standing as of the date of the adoption of these bylaws shall continue in their status as a member of the Down East Section.
Section 4. Members shall be entitled to subscribe the the American Industrial Hygiene Association Journal.
Section 5. Any member whose dues are unpaid on January 1 of any year is not in good standing and will have no vote. When the dues of any member are not paid within one year after they are due, the membership is automatically terminated.
Section 6. Any former Section member dropped for non-payment of dues who wishes to reactivate membership, may do so by both paying the one year's dues in arrears plus payment of the dues for the current fiscal year. if dues are in arrears for more than one year, the person must reapply for membership.
Section 7. Upon receipt of application, the Executive Committee may approve emeritus membership to a member who has become retired in fact. An emeritus member retains all privileges of the Section but will not be assessed dues.
Article IV. - Officers
Section 1. The officers of the Down East Section shall be a President, President-Elect, a Secretary and a Treasurer. The officers shall be members in good standing of the American Industrial Hygiene Association. The President-Elect, Secretary and Treasurer shall be elected annually by the members of the Section and shall serve until their successors are elected and installed. The President-Elect shall automatically accede to the Presidency on election and installation of a successor.
Section 2. If the office of the President-Elect becomes vacant, the President for the following year shall be elected at the next regular election. If any other offce becomes vacant, the Executive Committee shall appoint a member to fill this vacancy until the next regular election.
Section 3. An officer may be removed, with or without cause, at a meeting expressly called for that purpose, by a three-fourth vote of the Executive Committee.
Article V. - Administration
Section 1. The down East Section shall be governed by the Executive Committee except as oherwise herein expressly provided.
Section 2. The executive committee shall consist of the four officers, the immediate past President and three elective Directors. The President of the Section shall serve as Chairperson of the Executive Committee. Five membersof the Executive Committee shall constiute a quorum for the transaction of bisiness.
Section 3. The President shall preside at all meetings of the Section and of the Executive Committee and shall perform such duties as may be directed by the Executive Committee. In the absence of the President, the duties of the President will be performed by the President-Elect. The President should keep in contact with the developments in the field of industrial hygiene and guide the Section in the formulation of constructive activities.
Section 4. Before the Section publishes or otherwise issues publicly any statement upon a policy matter which purports to represent the opinion of the American Industrial Hygiene Association, it must obtain the consent of the Board of Directors of the Association.
Section 5. Before any officer or director of the Section publishes or otherwise issues publicly upon policy matter which is within the policy area of the Section, it shall determine by a poll that the statement expresses the majority opinion of the Section.
Section 6. The President shall appoint a Program Committee and such other committees as are deemed necessary and shall automatically become an ex-officio member of such committees.
Section 7. The Treasurer shall be the custodian of all monies of the Section, shall receive all monies due the Section and shall pay all authorized bills against the Section. The disbursement of all funds for this Section shall be made upon authorization of the Executive Committee. The Treasurer shall submit the accounts for the audit at the last meeting of the Executive Committee prior to the last regular meeting of the Section, transmit to the successor in office all funds and property of the Section in their possession, and submit an annual report to the Section in such form as may be determined by the Executive Committee.
Section 8. The Secretary shall keep an accurate record of all transactions of all meetings of the Section and of the Executive Committee; shall carry on the correspondence of the Section; and shall keep an accurate list of the members and their status.
Article VI. - Election of Officers and Directors
Section 1. The President-Elect shall automatically accede to the Presidency on election and installation of his successor.
Section 2. A President-Elect, Secretary and Treasurer shall be elected each year before November 30 to serve for one year.
Section 3. The Section will have three elective Directors and they shall be elected to serve for a term of three years. The terms of office for each of the three Directors shall be offset by one year so that no two Directors serve simultaneous three year terms.
Section 4. The Executive Committee shall appoint a three member Nominating Committee prior to August 30th. The Executive Committee shall also decide which election method (A) or (B) is to be used. The Nominating Committee shall prepare a slate of candidates for recommendation to the Executive Committee prior to September 30th. The candidate slate should consist of at least one person for: President-Elect, Secretary, Treasurer, Director(s) to fill expired terms/vacancies. The Nominating Committee is responsible for contacting each candidate and obtaining their consent to be included as an officer nominee. Candidates must be members of National AIHA. Elections may be conducted by either of the following methods:
A. By mail ballot. Ballots should be mailed to DEAIHA membership prior to October 15th, and return mailed to DEAIHA Nominating Committee, post-marked not later than November 30th. The Nominating Committee is responsible for tabulating and validating the election results.
B. By secret ballot at a scheduled business/membership meting. The Nominating Committee will distribute a list of nominees not less than 20 days prior to a scheduled DEAIHA meeting, at which time the committee will distribute a ballot to members present, tabulate and validate election results and announce results (if possible)prior to the close of the business meeting (or as soon as reasonably possible afterwards). This meeting should be held prior to November 30th.
Section 5. New officers will assume responsibilities in January
Section 6. The exiting President will report election results to the National AIHA.
Article VII. - Local Section Councillors
Section 1. The president shall tke a poll of the members planning to attend the annual meeting of the Anerican Industrial Hygiene Association.
Section 2. The Section will be represented on the Local Section Council at the annual meeting of the Anerican Industrial Hygiene Association by the President and President-Elect. TIn the event they are unable to attend, two members of the Section in good standing who have been appointed to this Council by the President of the Section will attend. The Local Section Council representatives may not be an officer or member of the American Industrial Hygiene Association Board of Directors.
Section 3. Members who attend the Local Section Council meeting will report to the Section on the first meeting of the Section following the national meeting.
Article VIII. - Meetings
Section 1. Meetings shall be held at least two times per year. The time and place of each meeting shall be approved by the Executive Committee.
Section 2. Special meetings may be called by the President at any time, with the approval of the Executive Committee or by petition to the President, signed by ten members in good standing.
Section 3. Members in good standing shall be notivied of all meetings at least 15 days in advance of the date set for the meeting.
Section 4. A quorum shall consist of 10 members or 3% of th emembership, whichever is greater.
Section 5. Executive Committee meetings shall be held at the discretion of the President at any time during the year, provided that notice of at least five days is given.
Article IX. - Dues
Section 1. Annual dues for Local Section membership become payable December 31 for the next upcoming year. The dues per year shall be set by the Executive Committee and approved in accordance with the procedures described in Article XI.
Article X. - Committees
Section 1. The President shall appoint a Program Committee. One menmber of this committee shall be the President-Elect wo shall act as Chairperson. The Program
Committee shall present a tentative program for the year to the Executive Committee for their approval. On approval of the Executive Committee, the Program Committee will then complete arrangements for speakers and for meeting places and provide the Secretary with the program which will be circulated to the members of the Down East Section.
Section 2. The President shall appoint such other committees as are deemed desirable for the effective action of the Down East Section.
Section3. The membership of all committees appointed byt he President shall terminate with the installation of new officers of the Section.
Article XI. - Amendments
Section 1. Amendments to these Bylaws may be presented by any member ingood standing at any regular meeting of the Section or at any special meeting called for that special purpose. They shall be presented in writing and shall be offered to the membership present at the meeting on motion for consideration and circulation to the membership. A simple majority shall be necessary to pass the motion. Amendments accepted for future consideration and circulation shall be printed and circulated with a ballot to all members in good standing. A two-thirds affirkative vote of the ballots returned within 30 days shall be necessary for the adoption of the amendment.
Section 2. Amendments to these Bylaws must be approved byt eh Board of Directors of the American Industrial Hygiene Association before they become effective. This is done to assure the Down East Section that future changes in these Bylaws will be the same force as the original, which was so approved.
